Terms of Service

1. Acceptance of Terms

By accessing or using Transcryb, you agree to these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not use our services.

• You must be at least 13 years old in the UK and US (16 in the EU/EEA) to use Transcryb
• If you are under 18, you represent that you have your parent's or guardian's consent
• You are responsible for maintaining the confidentiality of your account
• You agree to provide accurate and complete information
• One person or legal entity may maintain no more than one free account

2. Service Description

Transcryb provides AI-powered services including:

• Audio transcription and speaker identification
• Text-to-speech conversion
• Language translation
• Document processing and summarisation
• Smart reply generation
• Voice profile creation and management

Services are provided "as is" and we continuously work to improve accuracy and features.

3. Subscriptions and Billing

Subscription Tiers

• Free: Limited monthly usage with basic features
• Starter ($4.99/month): Enhanced limits for individuals
• Pro ($12.99/month): Professional features and higher limits
• Business ($39.99/month): Unlimited usage with team features

All prices are in US dollars. Applicable taxes may apply depending on your location.

Auto-Renewal Disclosure

• Billing cycle: Subscriptions are billed monthly
• Renewal charge: Your payment method is charged at the current subscription price at the start of each new billing period
• Price changes: We will notify you at least 30 days before any price change; continued subscription after notice constitutes acceptance
• Cancellation: Cancel anytime through account settings or by emailing support@transcryb.ai; cancellation takes effect at the end of the current paid period
• No partial refunds: We do not issue refunds for unused time after cancellation
• Free trial (if applicable): Subscriptions auto-renew to a paid plan at trial end unless cancelled beforehand

Right of Withdrawal (EU/UK Consumers)

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the EU Consumer Rights Directive, you have a 14-day cooling-off period from the date of purchase. You may request a full refund within this period by contacting support@transcryb.ai. If you have actively used the service during the cooling-off period, we may deduct a proportionate amount for the service already provided.

iOS / App Store Billing

If you subscribe via the Apple App Store, billing is managed by Apple. Manage or cancel your subscription in your Apple ID account settings. Auto-renewal may be turned off at least 24 hours before the end of the current period. Apple's refund policies apply to App Store purchases. For billing support, contact Apple directly.

Usage Limits

Each tier has monthly usage limits. Exceeding limits will result in restricted access until the next billing cycle or upgrade.

4. Acceptable Use

You agree to use Transcryb only for lawful purposes. You will NOT:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious content or malware
• Attempt to reverse engineer our services
• Share your account with others
• Use automated systems to access the service without permission
• Transcribe content without proper authorisation
• Use the service for illegal surveillance or covert recording
• Create multiple free accounts to bypass limits
• Resell or redistribute our services without permission

5. Audio Recording Consent

Consent Requirements

Recording laws vary by jurisdiction. Many places require consent from all parties before recording. It is your responsibility to:

• Understand and comply with recording consent laws in your jurisdiction and the jurisdiction of other parties
• Obtain all required consents before recording any conversation, meeting, or audio
• Inform all participants when a recording is being made
• Retain records of consent where required by law

Indemnification

By uploading audio to Transcryb, you represent and warrant that you have obtained all required consents from all recorded parties. You agree to indemnify, defend, and hold harmless Zwiers Studios Ltd from any claims, damages, or reasonable expenses arising from your failure to obtain proper consent, to the extent caused by your breach.

Transcryb is a transcription tool, not a legal compliance service. We do not verify consent status of audio submitted to our platform. When in doubt, consult a legal professional in your jurisdiction before recording.

6. Third-Party AI Services

Transcryb uses third-party AI services to deliver its features. By using Transcryb, you consent to your content being processed by these services as needed to provide the requested functionality.

AI Service Providers

• Deepgram: Audio transcription and speech-to-text processing
• OpenAI: Text processing, summarisation, smart replies, and AI features
• Anthropic: Advanced language understanding and content analysis
• Microsoft Azure Cognitive Services: Voice analysis and speaker identification

Data Handling by Third Parties

• Audio and text content is transmitted to these providers over encrypted connections
• We do not permit these providers to use your content to train their general AI models (subject to each provider's current data processing terms)
• Content sent for processing is governed by both these Terms and the relevant third-party service terms
• We select providers with strong privacy standards and data processing agreements in place

7. Content and Intellectual Property

Your Content

• You retain all rights to content you upload
• You grant us a non-exclusive, worldwide, royalty-free, sublicensable (solely to our service providers), revocable licence to process, transmit, and temporarily store your content for the purpose of providing the Transcryb service to you; this licence terminates when your content is deleted from our systems
• You are responsible for obtaining necessary permissions for content you upload
• We do not monitor or review content unless required by law

AI-Generated Outputs

Transcriptions, summaries, translations, smart replies, and other AI-generated outputs based on your content are yours. We claim no ownership over outputs generated from your content. Note that AI-generated outputs may not qualify for copyright protection in all jurisdictions.

Content Processing

• Audio files are deleted immediately after processing
• Transcripts are only stored if you explicitly save them
• Voice profiles are mathematical representations, not recordings
• We use industry-standard encryption for all data

Our Intellectual Property

Transcryb and its original content, features, and functionality are owned by Zwiers Studios Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

• You may not use our trademarks without written permission
• We respect the intellectual property rights of others

8. Disclaimers and Limitation of Liability

AI-Generated Content Accuracy

• Transcription accuracy varies depending on audio quality, accents, and background noise
• AI-generated summaries, translations, and replies may not fully or accurately represent the source content
• Outputs are not suitable for legal, medical, financial, or safety-critical use without independent human review
• We are not responsible for any decision or consequence arising from reliance on AI-generated content

Service Disclaimers

• Services are provided "AS IS" without warranties of any kind
• We do not guarantee 100% accuracy in transcriptions or translations
• We are not responsible for content you process through our service
• Service availability may be interrupted for maintenance or updates

Limitation of Liability

To the maximum extent permitted by law, Zwiers Studios Ltd shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from errors in AI-generated transcriptions, summaries, or outputs
• Damages arising from your failure to obtain recording consent from third parties
• Damages exceeding the amount paid for the service in the past 12 months

Mandatory Exceptions

Some jurisdictions do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

9. Termination

Your Rights

• You may cancel your subscription at any time
• You may delete your account and all associated data
• Cancellation takes effect at the end of the current billing period

Our Rights

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Abuse the service or interfere with other users

Effect of Termination

• Access to the service will cease immediately
• Saved content may be deleted after 30 days
• Voice profiles will be permanently deleted
• No refunds will be provided for unused time

10. Modifications to Terms and Service

We reserve the right to:

• Modify or discontinue features at any time
• Change pricing with 30 days notice
• Update these Terms with at least 30 days notice via email or in-app notification
• Introduce new features or services

For material changes that adversely affect your rights, we will seek your express consent where required by law. Continued use of Transcryb after changes take effect constitutes acceptance of the modified Terms.

11. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes shall be resolved in the courts of England and Wales.

If you are a consumer in the EU/EEA, you retain the right to bring proceedings in your country of residence.

Dispute Resolution

• We encourage resolution through direct communication first; contact us at info@transcryb.ai and we will respond within 14 days
• If we cannot resolve the matter informally within 30 days, either party may escalate to mediation
• EU residents may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr
• Nothing in these Terms prevents you from bringing a claim in court at any time

12. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, war, government action, power or internet failure, or failure of third-party services on which Transcryb depends.

13. Data Processing for Business Users

Where you use Transcryb on behalf of an organisation, Zwiers Studios Ltd may act as a data processor under UK GDPR Article 28. A Data Processing Agreement (DPA) is available upon request for Business tier subscribers. Contact info@transcryb.ai to request a DPA.

14. Apple App Store Terms (EULA)

For users who download or access Transcryb through the Apple App Store, this End User Licence Agreement ("EULA") is between you and Zwiers Studios Ltd only, not with Apple Inc. Apple is not responsible for Transcryb or its content.

Licence Grant

• Zwiers Studios Ltd grants you a non-transferable licence to use Transcryb on any Apple-branded device you own or control, as permitted by the App Store Terms of Service
• You may not distribute or make the app available over a network where it could be used by multiple devices simultaneously
• You may not rent, lease, lend, sell, or sublicence the app

Warranty

Zwiers Studios Ltd is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. Apple has no warranty obligation whatsoever with respect to Transcryb.

Apple's Role

• These Terms are between you and Zwiers Studios Ltd, not Apple
• Apple has no obligation to provide maintenance or support services for Transcryb
• Apple is not responsible for product liability claims, failure to comply with legal requirements, or claims under consumer protection or similar legislation
• In the event of any IP infringement claim relating to Transcryb, Zwiers Studios Ltd (not Apple) is solely responsible

Export Compliance

You represent and warrant that you are not located in a country subject to a UK or US Government embargo, or that has been designated as a "terrorist supporting" country, and that you are not listed on any UK or US Government list of prohibited or restricted parties.

Usage Rules

• You agree to use Transcryb in accordance with the App Store Terms of Service
• You must comply with all applicable third-party terms when using Transcryb

Third-Party Beneficiary

You acknowledge that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

15. General Provisions

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Zwiers Studios Ltd regarding Transcryb.

Severability

If any provision is found unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Failure to enforce any right or provision does not constitute a waiver of future enforcement.

Assignment

You may not assign or transfer these Terms. We may assign our rights to any successor in interest.
